3CORD AGENCY – TERMS & CONDITIONS

 

 

 

1. Overview

 

 

These Terms & Conditions (“Agreement”) govern all services provided by 3CORD Agency (“Agency,” “we,” “our”) to the client (“Client,” “you,” “your”). By engaging our services, you agree to be bound by this Agreement and all applicable terms herein.

 

 

 

2. Services

 

 

3CORD Agency provides marketing, branding, video production, photography, design, and digital strategy services as outlined in proposals, service plans, or signed agreements.

All services will be performed with reasonable care and professional standards according to agreed project timelines.

 

 

 

3. Payments

 

 

  • A non-refundable deposit of 50% of the total project cost is required to begin work unless otherwise stated in your invoice or agreement.

  • The remaining balance is due upon completion of the project or at specified milestones.

  • For monthly retainers, payments are due on the first day of each billing cycle.

  • Late payments may incur a 5% monthly late fee and may result in a pause or termination of services.

  • All fees are non-refundable once services have been rendered or deliverables have been provided.

 

 

 

 

4. Revisions & Deliverables

 

 

  • Each project includes a set number of revisions as defined in your proposal or plan.

  • Additional revisions or scope changes will be billed at the Agency’s standard hourly rate.

  • Final deliverables will be provided in agreed formats once full payment has been received.

  • The Client is responsible for reviewing and approving all work within the timeframe specified by the Agency.

 

 

 

 

5. Ownership & Usage Rights

 

 

  • Upon full payment, the Client owns the final approved deliverables (e.g., videos, graphics, photos, or marketing materials).

  • 3CORD Agency retains ownership of all raw files, drafts, templates, and working materials, unless otherwise agreed in writing.

  • The Agency reserves the right to display completed work in portfolios, social media, and promotional materials unless the Client requests confidentiality in writing.

 

 

 

 

6. Confidentiality

 

 

Both parties agree to keep all non-public information, project details, and proprietary materials confidential and not to disclose such information to third parties without prior written consent, except as required by law.

 

 

 

7. Client Responsibilities

 

 

The Client agrees to:

 

  • Provide all necessary content, brand materials, and approvals in a timely manner.

  • Ensure that any materials provided to the Agency are properly licensed and do not infringe on third-party rights.

  • Respond to communications and feedback requests promptly to avoid project delays.

  • Acknowledge that delays in providing information or approvals may affect delivery schedules.

 

 

 

 

8. Cancellation & Termination

 

 

  • Either party may terminate this Agreement with 14 days’ written notice.

  • Deposits are non-refundable.

  • If termination occurs after work has begun, the Client is responsible for payment of all work completed up to the termination date.

  • The Agency reserves the right to terminate this Agreement immediately in the event of non-payment or material breach by the Client.

 

 

 

 

9. Limitation of Liability

 

 

3CORD Agency shall not be liable for any indirect, incidental, or consequential damages, including but not limited to loss of data, profits, or reputation.

Results are not guaranteed, as marketing outcomes depend on external factors beyond the Agency’s control.

The Agency’s total liability shall not exceed the total amount paid by the Client for the specific project or service.

 

 

 

10. Independent Contractor

 

 

3CORD Agency operates as an independent contractor and not as an employee, partner, or joint venturer of the Client. The Client is not responsible for the Agency’s taxes or employment obligations.

 

 

 

11. Governing Law

 

 

This Agreement shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law principles.

Any disputes arising under this Agreement shall be resolved in the courts of Fulton County, Georgia.

 

 

 

12. Entire Agreement

 

 

This Agreement constitutes the entire understanding between 3CORD Agency and the Client and supersedes all prior discussions, proposals, or agreements, whether oral or written.

No modification or amendment shall be valid unless in writing and signed by both parties.

 

 

By engaging with 3CORD Agency, the Client acknowledges that they have read, understood, and agreed to these Terms & Conditions.
